Heze Lancets Network Technology Co., Ltd. (Lancets)

These Terms of Service (the Terms) constitute a legally binding agreement between you (whether individually or on behalf of an entity) and Heze Lancets Network Technology Co., Ltd., located at Room A1-04, Zone A, Huadu Shoe City Market, Dianjiangtai Road, Xicheng Street, Mudan District, Heze City, Shandong Province, 274000, China (Lancets, we, us, or our), concerning your access to and use of the website located at lancet.buzz (the Site), as well as any related services, content, and functionality offered through the Site (collectively, the Services).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.

1. Definitions

For the purposes of these Terms, the following definitions apply:

  • Content means any text, graphics, images, software, code, data, materials, and other information displayed on or made available through the Site.
  • User or you means any individual or entity that accesses or uses the Site.
  • Services means all products, services, content, features, technologies, and functions offered through the Site.
  • Engagement means a separately agreed-upon professional services arrangement between Lancets and a client.

2. Eligibility

By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Individuals under the age of 18 are not permitted to use the Site or provide any personal information through it. We do not knowingly collect information from minors.

3. Intellectual Property Rights

3.1 Ownership

Unless otherwise indicated, the Site and all Content, including but not limited to text, graphics, logos, icons, images, audio and video clips, software, code, data compilations, page layout, and design elements, are the proprietary property of Lancets or our licensors and are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

The Lancets name, the Lancets logo, the tagline Precision That Cuts Through Complexity, and all related names, logos, product and service names, designs, and slogans are trademarks of Lancets or our affiliates. You may not use such marks without our prior written permission.

3.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business purposes. This license does not include any right to:

  • Modify, reproduce, distribute, or create derivative works based on the Site or any Content
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Site or Content for any commercial purpose not expressly authorized
  • Frame, mirror, or deep-link to any portion of the Site without our express consent
  • Use any data mining, robots, or similar data gathering or extraction methods
  • Reverse engineer, decompile, or disassemble any software used on the Site

3.3 User Submissions

5. Professional Services

Any professional services provided by Lancets beyond the informational use of the Site shall be governed by a separate written agreement executed by both parties. The information and materials presented on the Site are for general informational purposes only and do not constitute a binding offer to provide services. No client relationship is formed solely through your use of the Site or submission of a contact form.

All service engagements with Lancets are subject to our standard terms and conditions of service, which will be provided prior to the commencement of any work. Pricing, timelines, deliverables, and specifications are determined on a project-by-project basis and confirmed in a written statement of work.

6. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, Lancets disclaims all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Site will be uninterrupted, error-free, secure, or free of viruses or harmful components
  • Warranties regarding the accuracy, completeness, reliability, or currency of any Content
  • Warranties arising from course of dealing, usage, or trade practice

Lancets does not warrant that the Site or any Content will meet your requirements or that any defects or errors will be corrected. Your use of the Site is at your sole risk.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LANCETS, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, whether arising in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

Without limiting the foregoing, Lancets's total aggregate liability for any claims arising out of or relating to these Terms or the Site shall not exceed the greater of (a) the amount paid by you, if any, to Lancets in the twelve months preceding the event giving rise to the claim, or (b) one hundred United States dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Lancets, its affiliates, directors, officers, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Site or Services
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any information or content you submit through the Site
  • Your violation of any applicable law, rule, or regulation

9. Third-Party Links and Content

The Site may contain links to third-party websites, applications, or resources that are not owned or controlled by Lancets. We have no control over, and assume no responsibility for, the content, privacy policies, terms of use, or practices of any third-party websites or services. You acknowledge and agree that Lancets shall not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services.

10. Termination

We reserve the right, in our sole discretion and without prior notice, to terminate or suspend your access to the Site, in whole or in part, for any reason or no reason, including without limitation any violation of these Terms. Upon termination, your right to access and use the Site will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification, and governing law provisions.

11. Modifications to the Terms

We reserve the right to modify these Terms at any time, at our sole discretion. When we make changes, we will update the Last Updated date at the top of this page. It is your responsibility to review these Terms periodically for changes. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes.

If we make material changes to these Terms, we will endeavor to provide reasonable notice through the Site or other communication channels. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Site.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the People's Republic of China, without giving effect to any conflict of law principles that would result in the application of the laws of a different jurisdiction.

12.2 Negotiation and Mediation

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiations. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may propose mediation.

12.3 Arbitration

If mediation does not resolve the dispute within sixty (60) days of the initial request for mediation, the dispute shall be finally resolved by binding arbitration administered in accordance with the rules of a recognized arbitration institution as mutually agreed by the parties. If the parties cannot agree on an arbitration institution, the arbitration shall be administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its rules then in effect. The seat of arbitration shall be Beijing, China. The arbitration shall be conducted in English or Chinese, as agreed by the parties. The arbitral award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

12.4 Exception for Injunctive Relief

Notwithstanding the foregoing, Lancets may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights or to address any breach of confidentiality obligations.

13. Force Majeure

Lancets shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, epidemics, pandemics, governmental actions, failure of telecommunications or utility services, or denial-of-service attacks on the Internet infrastructure.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lancets concerning your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter herein.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

14.3 Waiver

No waiver by Lancets of any breach or default under these Terms shall be deemed a waiver of any preceding or subsequent breach or default. Our failure or delay in exercising any right, power, or remedy shall not operate as a waiver thereof.

14.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Lancets may assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.

14.5 Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and Lancets. Neither party has the authority to bind the other or incur obligations on the other's behalf without prior written consent.

14.6 Notices

All notices, requests, demands, and other communications under these Terms shall be in writing and shall be deemed given when delivered personally, sent by confirmed email, or mailed by certified or registered mail with return receipt requested to the following address:
